These Terms of Use (“Terms”) govern your access to and use of the websites, online portals, applications, and digital services operated by TotalWellness, including www.totalwellnesshealth.com, official TotalWellness social media pages, RegisterMyTime.com, the Beata Wellness Portal, and any related or successor sites (collectively, the “Site”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

1. ACCEPTANCE OF TERMS

By accessing, browsing, or using the Site, you acknowledge that you have read, understood, and agree to comply with these Terms. TotalWellness may modify these Terms at any time. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms.

2. USE OF THE SITE

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

  • Access or use the Site in any manner that could damage, disable, or overburden our systems.
  • Interfere with the security, integrity, or performance of the Site.
  • Attempt to gain unauthorized access to any accounts, systems, or networks.
  • Upload or transmit harmful files, malware, or disruptive code.
  • Use the Site to violate any applicable laws or regulations.
  • Use the Site to harass, abuse, impersonate, or harm others.

TotalWellness reserves the right to restrict or terminate access to any user who violates these Terms.

3. ACCOUNT REGISTRATION

Some portions of the Site, such as RegisterMyTime or the Beata Wellness Portal, may require you to create an account. You agree to provide accurate, complete, and current information when registering and to maintain the confidentiality of your login credentials. You are responsible for all activity conducted under your account.

TotalWellness may suspend or terminate accounts at its discretion.

4. NO MEDICAL ADVICE

This Site provides information about TotalWellness, its programs, and its wellness-related services, including onsite flu vaccinations, biometric screenings, health education, and other employer-sponsored wellness offerings. While certain services offered by TotalWellness may involve the collection of health-related information, the Site itself does not provide medical, diagnostic, or clinical advice, and the content available on the Site should not be interpreted as such.

TotalWellness is not a medical provider and does not offer medical diagnosis, medical treatment, or individualized medical advice through this Site. Any wellness services described on the Site — such as flu shots, health screenings, or preventive programs — are provided in accordance with public health guidelines and employer wellness program requirements, but they do not replace the medical judgment or care of a licensed healthcare professional with whom you have an established patient–provider relationship.

If you are a healthcare consumer, you should not use any information found on this Site, including explanations, descriptions, educational materials, or general wellness guidance (the “Information”), as a substitute for professional medical advice. You should always seek the advice of your physician or another qualified healthcare provider for any questions you may have regarding a medical condition, symptoms, diagnosis, treatment plan, or medication. Never disregard professional medical advice, delay seeking care, or alter a treatment plan because of something you read on this Site. In the event of a medical emergency, call 911 or seek immediate assistance from emergency medical personnel.

The Information on this Site is intended solely as a general educational resource and is not medical advice, nursing advice, clinical guidance, or a substitute for consultation with a qualified healthcare provider who is familiar with your individual medical history. Use of this Site does not create a doctor–patient relationship between you and TotalWellness or any TotalWellness staff member. TotalWellness makes reasonable efforts to provide accurate and updated information; however, medical knowledge and public health recommendations evolve regularly, and the Site should not be considered error-free or comprehensive. TotalWellness makes no guarantees as to the accuracy, completeness, or timeliness of any content and assumes no responsibility for any consequences arising from your reliance on the Information. Your use of the Site and the Information is entirely at your own risk.

5. HEALTH INFORMATION & HIPAA

Certain features of the Site may allow you to submit or upload information that qualifies as Protected Health Information (“PHI”). Examples include consent forms, PCP forms, immunization documentation, or screening-related information submitted for wellness services.

PHI submitted through the Site is governed by applicable federal and state privacy laws, including the Health Insurance Portability and Accountability Act (“HIPAA”), and by TotalWellness’s Notice of Privacy Practices.

PHI is used solely for purposes of delivering or administering wellness services and is not used for marketing or analytics.

By submitting PHI, you authorize TotalWellness to use and disclose such information as permitted by HIPAA and as described in our Notice of Privacy Practices.

6. INTELLECTUAL PROPERTY

All content on the Site — including text, graphics, logos, icons, images, audio, video, software, and other materials — is the property of TotalWellness or its licensors and is protected by copyright, trademark, and other intellectual property laws.

Except where expressly permitted, you may not:

  • Copy, reproduce, modify, or distribute Site content
  • Reverse-engineer, decompile, or attempt to extract source code
  • Use Site content for commercial purposes without written consent

TotalWellness® and associated marks are registered trademarks or service marks of TotalWellness.

7. USER CONTENT

Any comments, feedback, submissions, or materials you provide through the Site (“User Content”) must be accurate and lawful. By submitting User Content, you grant TotalWellness a nonexclusive, royalty-free license to use, display, and reproduce such content for operational purposes.

Do not submit User Content that contains confidential information, unless explicitly requested (e.g., medical documentation). PHI is handled separately under HIPAA.

TotalWellness is not responsible for User Content posted publicly on blogs or forums and does not guarantee the confidentiality of such posts.

8. THIRD-PARTY LINKS

The Site may contain third-party content, such as articles, videos, data feeds, or informational resources, and may provide hyperlinks to websites that are not owned or controlled by TotalWellness. These links are provided solely as a convenience to users. TotalWellness does not control, endorse, sponsor, recommend, or assume responsibility for any third-party websites, services, or content accessed through the Site. We make no representations or warranties regarding the accuracy, legality, decency, security, or any other aspect of such third-party content or websites.

TotalWellness expressly disclaims any liability arising from allegations that third-party content infringes the intellectual property rights of any person, as well as any liability arising from statements, opinions, information, services, materials, or other content contained within or accessed through any third-party website. We also disclaim responsibility for the availability, performance, or security of any third-party website. If you choose to access any third-party website or rely on third-party content, you do so entirely at your own risk. Users are encouraged to review the privacy policies and terms of use applicable to each third-party website they visit.

9. LINKING TO THIS SITE

TotalWellness welcomes links to the Site, provided that any such link is presented in a manner that does not misrepresent your relationship with TotalWellness, does not include false or misleading information about TotalWellness, and does not imply endorsement or sponsorship where none exists. You may not link to the Site from any webpage, profile, social platform, or resource that contains or promotes unlawful, defamatory, obscene, abusive, harassing, discriminatory, hateful, exploitative, or otherwise inappropriate or harmful content. You may also not link from any site that encourages conduct that could violate applicable laws, give rise to civil or criminal liability, or harm the reputation, integrity, or operations of TotalWellness. In addition, links are not permitted on sites that infringe the intellectual property, privacy, or publicity rights of others or that provide instructions for illegal activities.

TotalWellness reserves the right, at any time and in its sole discretion, to prohibit or require the removal of any link to the Site, regardless of whether permission was previously granted. If we request that you remove a link to the Site, you agree to do so immediately.

10. DISCLAIMER OF WARRANTIES

The Site and all content, services, and features are provided “as is” and “as available” without warranties of any kind, whether express or implied.

TotalWellness does not warrant that:

  • The Site will operate uninterrupted or error-free
  • The Site will be secure or free from viruses
  • Any information obtained through the Site will be accurate or reliable

You use the Site at your own risk.

11. LIMITATION OF LIABILITY

To the fullest extent permitted by law, TotalWellness shall not be liable for any:

  • Direct, indirect, incidental, consequential, special, or punitive damages
  • Loss of data, profits, business, or goodwill
  • Security breaches, system failures, or unauthorized access

TotalWellness’s total cumulative liability for any claim relating to the Site shall not exceed the amount (if any) paid by you to use the Site.

Some jurisdictions do not allow certain limitations; in such cases, these limitations apply to the maximum extent permitted by law.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless TotalWellness and its employees, officers, agents, contractors, and affiliates from any claims, damages, liabilities, or expenses arising from:

  • Your use of the Site
  • Your violation of these Terms
  • Your misuse of any information obtained from the Site
  • Your submission of false, unauthorized, or unlawful information

13. TERMINATION

TotalWellness may, at its sole discretion, suspend or terminate your access to the Site without notice for conduct that violates these Terms or is otherwise harmful to TotalWellness, its users, or partners.

14. GOVERNING LAW

These Terms are governed by and construed in accordance with the laws of the State of Nebraska, without regard to conflict of laws principles.

Any disputes shall be resolved exclusively in state or federal courts located in Nebraska.

15. SEVERABILITY

If any provision of these Terms is found unlawful or unenforceable, that provision shall be modified or removed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. ENTIRE AGREEMENT

These Terms constitute the entire agreement between you and TotalWellness regarding the use of the Site and supersede all prior agreements, understandings, or representations
